Healing Microbiome Course Enrollment Agreement
Effective Date: March 31, 2026
This Enrollment Agreement (“Agreement”) is entered into by and between Healing Microbiome LLC ("Company",“we”, or “us”) and You (“Client” or “You”) and governs your participation in the course(s) and/or coaching programs offered by Healing Microbiome LLC. By clicking “I Agree,” entering your payment information, orotherwise enrolling (electronically, verbally, or otherwise), you agree to the terms of this legally binding agreement.
1. Company’s Services
Upon execution of this Agreement, Healing Microbiome LLC offers a non-medical, educational online course titled “Healing Microbiome Foundations Course,” designed by Dr. Neal Shah, founder of Healing Microbiome LLC. The course is designed as a foundational program to introduce core concepts and practical applications related to microbiome balance, lifestyle awareness, and mind-body alignment.
The course includes:
- Lifetime access to all core modules and materials for as long as the course is offered by the Company
- Self-paced learning with structured foundational lessons and practical action steps
- Visual learning through video clips, animations, and graphics
- Educational content based on the Energy–Mind–Microbiome–Body framework
- Guided practices including meditation, dietary education, and lifestyle awareness
- Mobile access via compatible iOS and Android applications
- Free updates to course content as they are released
The course does not include:
- Medical diagnosis, treatment, or prescriptions
- Individualized medical advice
- Services intended to replace professional healthcare
Participation is for educational purposesonly. No doctor-patient relationship is established.
Company reserves the right to substitute services with equal or comparable offerings if needed. Updates to the corecourse will be provided for as long as the course is offered. Bonuses or additional features may vary with promotions and are not guaranteed beyond enrollment.
2. Participants
This course is intended for individualsaged 18 and above. Healing Microbiome LLC disclaims liability for use by minors.
3. Incorporated Policies
By enrolling, you agree to the Terms of Service and Disclaimer,and Privacy and CookiePolicy, which are incorporated by reference. You also consent to receiving course-related communications via email, SMS/text messages, and WhatsApp, in accordance with those policies. Messaging is informational and optional and may be opted out of at any time per policy instructions.
Healing Microbiome LLC complies with applicable data protection laws, including the General Data Protection Regulation(GDPR) where applicable. Client data is stored securely and used solely forprogram administration and communication.
4. Fees
The standard price of the HealingMicrobiome Foundations Course is $497 USD, unless otherwise stated atcheckout.
This is a one-time purchase only. Nosubscription or payment plan is offered unless explicitly stated at checkout.
From time to time, the Company may offer promotional pricing, bonuses, or limited-time discounts, which apply only atthe time of enrollment and do not require modification of this Agreement.
5. Payment Methods
You are responsible for maintainingaccurate payment information. All payments are securely processed via Kajabi Payments powered by Stripe, PayPal, and Razorpay, dependingon availability. Kajabi payments accepts major credit and debit cards. Participants complete payment through the Kajabi checkout page, and transaction receipts are automatically emailed. Payment details are not stored on ourservers. By providing payment info, you authorize automatic charges and willreceive an electronic receipt. For more details, see https://kajabi.com/payments. 6. Refund Policy
All sales are final unless otherwise explicitly stated at the time of enrollment.
From time to time, Healing Microbiome LLCmay, at its sole discretion, offer a limited-time refund period or satisfaction guarantee for specific products or promotions. If such anoffer is made, the terms, duration, and conditions of the refund eligibility will be clearly stated at the time of enrollment and must be followed strictly.
If a refund option is offered, the Clientmust submit a request by emailing info@healingmicrobiome.com within thespecified refund period. Refund requests submitted outside the stated timeframe will not be honored.
Unless a refund or guarantee is explicitly offered at enrollment, no refunds, credits, or exchanges are provided.
7. Chargebacks & Payment Security
Unauthorized chargebacks or payment reversals are prohibited and may result in program termination and collection efforts. Clients agree to contact Healing Microbiome LLC first to resolve any billing disputes.
8. No Resale of Services
You may not reproduce, resell, or share anypart of the course for commercial purposes. Materials are for personal useonly.
9. Intellectual Property Rights
All content is the intellectual property ofHealing Microbiome LLC. You may not distribute, reproduce, or use materials forbusiness purposes without written consent.
Fair use exceptions do not apply tocommercial redistribution or unauthorized sharing. Any violation may result inlegal action.
10. Limitation of Liability
By enrolling, you release Healing Microbiome LLC from liability for any damages to the maximum extent permitted by law. If liability is found, it is limited to the lesser of:
(a) fees paid in the month prior to the claim, or
(b) $1000 USD.
Claims must be submitted within 100 daysof the cause of action.
11. Disclaimer of Guarantee
Results vary by individual. No guaranteesare made regarding outcomes. You are responsible for your own progress.
12. Course Rules
Respectful behavior is required. Disrespector rule violations may result in termination without refund.
13. Use of Course Materials
You grant Healing Microbiome LLC a royalty-free, worldwide, irrevocable, perpetual license to use your written testimonials,feedback, reviews, or voluntarily submitted content for educational orpromotional purposes.
Health Privacy Safeguard
The Company will not publicly disclose yourspecific medical diagnoses, medical records, or highly sensitive personalhealth information without your express consent. Any testimonials used will beselected and presented in a manner intended to respect participant privacy.
14. No Substitute for Medical Treatment
This course is not a replacement forprofessional medical advice. Consult your healthcare provider before makinghealth-related decisions. Do not discontinue prescribed medications withoutmedical supervision.
15. Termination
Failure to comply or make timely paymentsmay result in termination. Outstanding fees will be collected.
16. Confidentiality
Healing Microbiome LLC agrees to safeguardyour confidential information and not disclose it without written consent,except as required by law, incorporated policies, or as otherwise permittedunder this Agreement.
17. Non-Disparagement
Both parties agree not to publicly orprivately disparage each other. Disputes must be resolved through the processoutlined herein.
18. Indemnification
You agree to indemnify and hold harmlessHealing Microbiome LLC and its affiliates from any claims or liabilitiesarising from your use of the course, except in cases of Company’s solenegligence or misconduct.
19. Governing Law & Venue
This Agreement is governed by the laws of Maryland. Disputes shall be exclusively resolved via binding arbitration in Maryland. The prevailing party may recover reasonable legal fees.
20. Entire Agreement
This Agreement supersedes all prior agreements. Modifications must be in writing and signed by both parties.
21. Survivability & Severability
Terms related to payment, confidentiality, intellectual property, and non-disparagement survive termination. If any partis unenforceable, the remainder remains valid.
22. Execution
By clicking “I Agree,” you accept the termsof this Agreement. Electronic signatures and copies carry the same legal weightas originals under the E-SIGN Act.
