Healing Microbiome Group Coaching Program Enrollment Agreement
Effective Date: December 22, 2025
This Enrollment Agreement (“Agreement”) is entered into by and between Healing Microbiome LLC ("Company", “we”, or “us”) and You (“Client” or “You”) and governs your participation in the group coaching programs offered by Healing Microbiome LLC. By clicking “I Agree,” entering your payment information, or otherwise enrolling (electronically, verbally, or otherwise), you agree to the terms of this legally binding agreement.
1. Company’s Services
Upon execution of this Agreement, Healing Microbiome LLC offers a non-medical, educational online group coaching program titled “Healing Microbiome: Learn to Reprogram Your Health in 2 Weeks,” facilitated by Dr. Neal Shah, founder of Healing Microbiome LLC.
The program includes:
- 12 live group coaching sessions (approximately 1 hour each over a 2-week period) delivered via Zoom
- Group interaction, polls, guided meditations, and Q&A
- Access to session recordings for up to 30 days after program completion
- Educational videos, reading materials, worksheets, and tools
- Guided practices including meditation, dietary education, and lifestyle guidance
- Educational content on the Energy–Mind–Microbiome–Body framework
- Email support from purchase date through the program access period
- Private WhatsApp group access for program-related communication during the active program period
- Evidence-informed educational content based on microbiome science and holistic health principles
Bonuses (when offered):
- Access to the self-paced course “Healing Microbiome: Restore Your Health”
- Additional digital resources, meditations, or materials
Bonuses are non-transferable, non-refundable, and provided at the Company’s discretion.
The program does not include:
- Medical diagnosis, treatment, or prescriptions
- Individualized medical advice or emergency care
- Services intended to replace professional healthcare
Participation is for educational purposes only. No doctor-patient relationship is established.
Company reserves the right to substitute or modify course content with equal or comparable educational offerings if needed. Updates to the core program will be provided for as long as the program is offered. Additional features may vary with promotions and are not guaranteed beyond enrollment.
2. Participants
This program is intended for individuals aged 18 and above. Healing Microbiome LLC disclaims liability for use by minors.
3. Incorporated Policies
By enrolling, you agree to the Terms of Service and Disclaimer, and Privacy and Cookie Policy, which are incorporated by reference.
You also consent to receiving program-related communications via email, SMS/text messages, and WhatsApp, in accordance with those policies.
Healing Microbiome LLC complies with applicable data protection laws, including the General Data Protection Regulation (GDPR), where relevant. Client data is stored securely and used solely for program administration and communication.
4. Fees
The standard price of the group coaching program is $1,497 USD, unless otherwise stated at checkout. Full payment is required at registration unless otherwise specified under promotional discounts or bonuses.
From time to time, Healing Microbiome LLC may offer promotional pricing, discounts or bonuses. Such offers are discretionary and applied at enrollment, eliminating the need for separate agreements for each bonus.
5. Payment Methods
You are responsible for maintaining accurate payment information. All payments are securely processed via Kajabi Payments powered by Stripe, PayPal, and Razorpay, depending on availability. Kajabi payments accepts major credit and debit cards. Participants complete payment through the Kajabi checkout page, and transaction receipts are automatically emailed. Payment details are not stored on our servers. By providing payment info, you authorize automatic charges and will receive an electronic receipt. For more details, see https://kajabi.com/payments. 6. Refund Policy
No refunds are issued once the program is accessed or delivered. Cancellation by the Client does not entitle them to a refund.
If a Client is unable to attend the scheduled live group coaching program and the option is offered at the time of enrollment, the Company may, at its discretion, allow the Client to participate in a future group coaching cohort within twelve (12) months of the original program start date at no additional cost.
This option, when offered, serves as thesole alternative to a refund and is:
- Subject to availability
- Non-transferable
- Limited to one future cohort
- Not guaranteed unless explicitly offered during enrollment
Failure to attend or complete a programdoes not otherwise entitle the Client to a refund or credit.
7. Chargebacks & Payment Security
Unauthorized chargebacks or paymentreversals are prohibited and may result in program termination and collectionefforts. Clients agree to contact Healing Microbiome LLC first to resolve anybilling disputes.
8. No Resale of Services
You may not reproduce, resell, or share anypart of the program for commercial purposes. Materials are for personal useonly.
9. Intellectual Property Rights
All content is the intellectual property ofHealing Microbiome LLC. You may not distribute, reproduce, or use materials forbusiness purposes without written consent.
Fair use exceptions do not apply tocommercial redistribution or unauthorized sharing. Any violation may result inlegal action.
10. Limitation of Liability
By enrolling, you release HealingMicrobiome LLC from liability for any damages. If liability is found, it islimited to the lesser of:
(a) fees paid in the month prior to the claim, or
(b) $1000 USD.
Claims must be submitted within 100 days of the cause of action.
11. Disclaimer of Guarantee
Results vary by individual. No guaranteesare made regarding outcomes. You are responsible for your own progress.
12. Coaching Rules
Respectful behavior is required. Disrespector rule violations may result in termination without refund.
13. Use of Coaching Materials
Live sessions are conducted via Zoom and may be recorded. You grant Healing Microbiome LLC a royalty-free, worldwide, irrevocable, perpetual license to use your name, image, likeness, voice, written submissions, chat messages, testimonials, feedback, and any audio or video recordings created during or related to the program for educational, marketing, promotional, and commercial purposes, in any media now known or later developed.
This may include, but is not limited to:
- Website content
- Email marketing
- Social media posts and advertisements
- Video clips, screenshots, or excerpts from group sessions
- Testimonials or anonymized excerpts
You understand that:
- Your face and voice may be visible or audible in recordings
- No compensation will be provided for such use
- The Company is not required to seek additional approval prior to use
Health Privacy Safeguard
Healing Microbiome LLC will not publicly disclose a participant’s specificmedical diagnoses, medical records, or highly sensitive personal healthinformation without the participant’s express consent. Any testimonials,excerpts, or recordings used for promotional purposes will be selected andpresented in a manner intended to respect participant privacy.
If you wish to opt out of promotionaluse, you must notify the Company in writing prior to program start.Opting out does not affect participation but may limit camera-on participationduring recorded sessions.
14. No Substitute for Medical Treatment
This program is not a replacement forprofessional medical advice. Consult your healthcare provider before makinghealth-related decisions. Do not discontinue prescribed medications withoutmedical supervision.
15. Termination
Failure to comply with program rules ormake timely payments may result in termination. Outstanding fees will becollected.
16. Confidentiality
Healing Microbiome LLC agrees to safeguardyour confidential information and not disclose it without written consent, exceptas required by law, incorporated policies, or as otherwise permitted under thisAgreement.
17. Non-Disparagement
Both parties agree not to publicly orprivately disparage each other. Disputes must be resolved through the processoutlined herein.
18. Indemnification
You agree to indemnify and hold harmlessHealing Microbiome LLC and its affiliates from any claims or liabilitiesarising from your use of the program, except in cases of Company’s solenegligence or misconduct.
19. Governing Law & Venue
This Agreement is governed by the laws of Maryland.Disputes shall be resolved exclusively via binding arbitration inMaryland. The prevailing party may recover reasonable legal fees.
20. Entire Agreement
This Agreement supersedes all prioragreements. Modifications must be in writing and signed by both parties.
21. Survivability & Severability
Terms related to payment, confidentiality,intellectual property, and non-disparagement survive termination. If any partis unenforceable, the remainder remains valid.
22. Execution
By clicking “I Agree,” you accept the termsof this Agreement. Electronic signatures and copies carry the same legal weightas originals under the E-SIGN Act.
